Terms & Conditions

These Terms govern your use of The AI Geeks Lab's website and services. By engaging us — through a signed proposal, paid invoice, WhatsApp confirmation or email approval — you agree to these Terms.

1. Scope of services

We deliver services strictly as described in your signed proposal, invoice or written scope. Any work outside that scope (additional pages, revisions beyond included rounds, new integrations, extra ad creatives, etc.) is billed separately at our prevailing rates.

2. Client responsibilities

• Provide accurate brand assets, content, logins, access and approvals on time.
• Designate a single point of contact for approvals.
• Respond to feedback requests within 5 business days. Delays caused by the client extend timelines and do not entitle the client to refunds or penalties.
• Ensure all content provided is lawful, original or properly licensed.

3. Payment

• One-time projects: 50% advance to start, 50% before launch / final delivery, unless otherwise agreed.
• Monthly retainers: invoiced at the start of each cycle; service pauses on overdue invoices beyond 7 days.
• All fees are exclusive of GST and any third-party costs (ad spend, API fees, hosting, premium plugins, stock assets).
• Late payments attract interest at 1.5% per month from the due date.

4. Intellectual property

• Final deliverables become the client's property only upon receipt of full payment.
• Until then, all designs, code, workflows and content remain our exclusive property.
• We retain the right to display the work in our portfolio, case studies and marketing materials, including client name and logo, unless the client opts out in writing in advance.
• We retain ownership of underlying frameworks, scripts, automation templates and tools we develop, and may reuse them across clients.
• Third-party assets (fonts, plugins, stock images, n8n nodes, AI model API access) remain governed by their respective licences.

5. Ad spend & third-party costs

For performance marketing, the client funds Meta / Google / WhatsApp ad accounts and any third-party tools directly. These costs are not part of our service fee and are never refundable by us under any circumstances.

6. No guarantees

Marketing, SEO, AEO, ads, automation and AI outcomes depend on many factors outside our control (algorithms, market conditions, client offer, budgets, content quality). We commit to using best industry practices but do not guarantee specific lead volumes, conversion rates, rankings, ROI, or revenue. Any figures shared on our website, proposals or calls are illustrative historical results and not a contractual promise.

7. Confidentiality

Both parties agree to keep confidential information shared during the engagement private and to use it only for the purpose of delivering the services.

8. Limitation of liability

To the maximum extent permitted by law, our total liability to the client under any claim arising from the services shall not exceed the fees paid by the client to us in the preceding one (1) month. We are not liable for indirect, incidental, consequential, punitive or revenue / data / goodwill losses, or for outages of third-party platforms (Meta, Google, WhatsApp, hosting, AI providers, etc.).

9. Termination

• Either party may terminate a monthly retainer with 30 days' written notice. The current invoiced month is non-refundable.
• One-time projects cannot be cancelled once design / development has started; the refund schedule in our Refund Policy applies.
• We may terminate immediately for non-payment, abuse, illegal use, or breach of these Terms.

10. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control (internet outages, third-party API outages, natural disasters, government action, strikes, pandemics).

11. Governing law

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the competent courts at our registered office location.
